UK Legal and Compliance Director                                                                   

Cheshire (hybrid working)

c£125k plus benefits and bonus

Our client is a US private equity backed tech protection, warranty, repair and recycling business operating in the regulated mobile devices/ personal computing insurance and fulfilment space. Working with the world’s largest brands and service providers they operate in over 30 countries and look after almost a billion customers.

As part of their growth and further development within the insurance solutions space in the UK, my client is keen to add to their UK Executive Management Team with the recruitment of a UK Legal and Compliance Director.  The role will report into the group General Counsel based in the US.

The UK Legal and Compliance Director will be responsible for the UK legal and compliance operations; providing guidance on corporate governance, negotiating and drafting contracts, risk management, and the establishment/ development of plans and policies across the business. They will be the lead contact within the organisation’s UK legal team, and will be expected to build strong and amicable relationships with clients and internal teams and stakeholders.  The business is currently authorised as a Third Party Adviser (TPA) through the Netherlands.  In the short term the candidate will steer a material cross-functional project aimed at transferring to and securing FCA approval for the UK device protection business, working with external counsel.

Key Responsibilities:
  • Be the first point of contact for all UK legal matters and legal compliance support
  • Work holistically across all teams in the UK business to proactively offer legal and compliance support and advice
  • Deliver advice and legislative updates to senior management and leadership teams
  • Ensure our client is compliant with its legal obligations, analysing legal trends and changes in legislation, while maintaining the commercial interests of the company
  • Reviewing, drafting and negotiating a variety of commercial contracts, ensuring they are viable, legally robust with protections, and in line with policies and procedures
  • Be accountable for ensuring all contracts are in place prior to commencement of services, or renewed and extended on time and identify when contract variation is necessary
  • Communicate and negotiate with relevant external parties (regulators, external counsel, regulatory authorities etc.), creating relations of trust
  • Manage any external lawyers in relation to outsourcing of litigation, property, pensions, etc., and manage the external spend in line with budget
  • Provide advice and support in relation to any corporate acquisitions and act as project manager in relation to the external lawyers, due diligence and entire end to end process
  • Drive legal requirements on corporate simplification
  • Develop, manage and implement the overall legal strategy and approach
  • Build and develop legal and compliance team in the UK/ Europe as growth demands
  • Lead on UK corporate governance, ethics and compliance, including GDPR
  • Continuously ensure that the necessary compliance policies and procedures are in place and are regularly reviewed and updated, remaining in line with company policy, GDPR, FCA and all applicable legislative requirements
  • Work with underwriters to negotiate risk in respect of the TPA services provision
  • Draft and maintain internal and customer-facing policies, terms and conditions and precedent documents as and when required
  • Create legal guidance and training materials for other teams in the business

Profile:

  • Qualified solicitor with a minimum of 7 years’ PQE, ideally in the insurance or a wider regulated financial services sector
  • Experience in a well-known law firm as well as in-house experience with direct legal and compliance accountabilities
  • Proven experience of strong drafting and negotiation skills and ability to manage to a sizeable workload with requisite organisational skills
  • Proven experience of interacting with regulators (ideally the FCA) and detailed understanding of FCA principles   
  • Familiarity with GDPR and wider UK statutory risk principles (e.g. Health and Safety, Anti-Bribery etc)
  • Able to articulate /present complex legal drafting in a simple concise manner to non-legal personnel
  • Diligent and accurate with strong attention to detail
  • A proactive and innovative approach to initiate continuous improvement
